The SEC's Tokenization Boom Has an Expiration Date No One's Pricing In

The SEC’s new tokenized stock framework helped trigger a broad crypto rally this week. But that tokenization boom rests on exemptive relief, not law, and a future chair could erase it with a single order.

The SEC issued the exemption two days after the Senate blocked the Clarity Act, a bill meant to clarify federal crypto oversight. It lets qualifying platforms trade tokenized US stocks without registering as exchanges, for up to five years.

The Fine Print Behind the Tokenization Boom

SEC Chairman Paul Atkins framed the order as a bridge while Congress stays stalled. Bloomberg Intelligence senior government analyst Nathan Dean told Bloomberg the rule was written as guidance, not formal rulemaking.

That distinction matters. Formal rules require a lengthy public process to reverse. Guidance does not.

A Five-Year Countdown

Jamie Cellway, the SEC’s director for the Division of Trading and Markets, argues reversal will only get harder over time. He told Bloomberg the exemption would be “really hard to remove” once trading gains traction.

Still, the order carries an explicit five-year sunset. That’s a blunt expiration date for infrastructure that banks, exchanges, and issuers are now being asked to build around.

Community banking groups have separately flagged deposit and lending risks tied to the broader tokenization push. That gives another constituency reason to want the rule gone.

Whether this becomes a bridge to permanent law or a countdown to reversal depends on Congress. Circle’s chief strategy officer, Dante Desparte, told Bloomberg new rules could still land by year’s end or sometime in 2027.
