What this transaction means for investors

Lefkofsky's sale itself is routine, a sell-to-cover on vested equity, but the timing is nevertheless interesting for Tempu stock. He disposed of about 133,000 shares on August 18, at a weighted average price of $49.61. The very next day, Tempus stock jumped 24% to $61.25, then another 9% the day after that, to $66.65, after Moderna and Merck reported Phase 3 melanoma trial results that validate the genomic sequencing technology behind Tempus's pending $1.5 billion Personalis acquisition. Of course, Lefkofsky sold the day before, not after, so there's no story here despite how it looks on a chart.

The business context makes clear why investors are excited regardless of one CEO's tax bill. Tempus posted its first GAAP profit in the second quarter, with revenue up 22% to $382.5 million and oncology volume growth of 31%. The company raised full-year guidance to roughly $1.6 billion, about 25% annual growth. Lefkofsky described the quarter plainly, saying "Q2 was another exceptional quarter for us." None of that was priced in before this week. For long-term investors, whether Tempus can turn a single trial readout into durable testing volume is the real question now, not a routine Form 4 filed a day too early to matter.
