Bezos to Sell Over $4 Billion in Amazon Stock as Record Rally Faces Pullback Test

TradingKey - Bezos' share sale triggers decline in Amazon's stock price, which may face continued downward pressure, with a short-term bearish target near $260.

On August 3, Eastern Time, Amazon ( AMZN) surged 4.58% to break above $280, hitting another record high, with its total market capitalization successfully surpassing the $3 trillion milestone, buoyed by positive catalysts of strong AWS cloud revenue growth and AI investments entering their harvest phase.

However, founder Jeff Bezos subsequently filed with the U.S. SEC during after-hours to sell 15 million shares valued at approximately $4.07 billion under a Rule 10b5-1 prearranged trading plan. This stock sale news presented a liquidity and psychological digestion test for the short-term strong rally, causing the stock to pull back by about 2% and briefly dip below $280.

While a $4 billion sale is a massive figure for small and medium enterprises or ordinary investors, it is merely a drop in the bucket for a company with a $3 trillion market cap, having almost no impact on its fundamental valuation. In addition, Amazon's daily trading volume reaches as high as $20 billion to $30 billion; if the $4.07 billion is digested in tranches over several days or weeks in the public market, it represents only a small fraction of the average daily trading volume.

Most importantly, Bezos is not engaging in insider trading or taking a bearish stance at peak levels, but rather making a regular asset allocation through the SEC's Rule 10b5-1 plan. This plan requires executives to predetermine future stock sale conditions—including time, price, and quantity—months or even earlier in advance, to be automatically executed by the system when the time comes. Therefore, it does not represent Bezos' assessment of current or future short-term stock price movements, nor does it mean he is bearish on the company's future prospects.

Leveling out, insider selling inevitably exerts psychological and liquidity absorption pressure in the short term. Just as Amazon's stock price surged to new highs on strong AWS cloud growth and AI monetization, the filing of up to $4 billion in insider selling pressure can easily trigger some short-term profit-taking and retail investors following suit to lock in gains.

Under the weight of the negative selling news, Amazon's stock price is highly likely to face downward pressure and is expected to retest the historic high of around $278 set in May this year in the short term. If it breaks below this level, it will head toward the next line of defense at $266 (the 0.786 Fibonacci retracement level). Will it return to this year's low of $220? The probability of this is very low, and Amazon is unlikely to test this range unless Federal Reserve rate cut expectations are completely dashed or there is a systemic slump in the U.S. stock market.
