Key Points

  • Comtech agreed to sell its satellite business for $157.5 million.

  • Allerium entered fiscal 2027 with $520 million in funded backlog.

  • Fiscal 2026 operating cash flow reached $25 million after past losses.

On its fourth-quarter fiscal 2026 earnings call, held on Oct. 14, 2026, Comtech (NASDAQ:CMTL) detailed its planned sale of most of its Satellite and Space Communications business for $157.5 million to focus on public safety technology. Divesting this unit sheds a volatile segment to prepay expensive senior debt. The remaining operations center on Allerium, a public safety segment that generates steady subscription-style revenue.

Three takeaways from management explain where the business goes from here.

1. Divesting Satellite and Space Clears Senior Debt

The sale of the Satellite and Space segment provides $128.3 million in net cash proceeds to repay most of the company's senior debt. Eliminating this capital-intensive business stabilizes earnings and lets leadership streamline corporate overhead.

Divesting the majority of Satellite and Space Communications business would accomplish multiple goals. First, the sale of S&S could generate enough cash to prepay most of our senior debt and enable a recapitalization.
-- Kenneth Traub, Chairman, President and CEO

2. Allerium Provides High Recurring Revenue and Half-Billion-Dollar Backlog

The retained Allerium segment operates in Next Generation 9-1-1, an internet-protocol-based emergency communications system for public safety answering points, which are 9-1-1 call centers. Long-term contracts with state agencies and telecom carriers give it predictable cash flow and $520 million in funded backlog.

We entered fiscal 2027 with $520 million in funded backlog. Approximately 80% of our annual revenue now is recurring and long-standing relationships with states, public safety agencies and some of the world's largest mobile network operators.
-- Jeff Robertson, President of Allerium

3. Operational Discipline Drives Positive Operating Cash Flow

Management tightened working capital controls to turn cash flows positive after seven consecutive quarters of cash burn prior to the middle of fiscal 2025. Fiscal 2026 operating cash flow reached $25 million as billing processes improved and legacy lower-margin contracts wound down.

Operating cash flows were $25 million for fiscal 2026 compared to outflows of $29.2 million in fiscal 2025. The improvement reflects favorable changes in working capital management driven by improved accountability and process disciplines.
-- Michael Bondi, CFO

Looking Ahead

Public safety agencies are modernizing emergency networks, and Comtech holds prime market positions across core routing and call handling systems. Its location technology reaches 250 million wireless subscribers, creating built-in distribution for software upgrades.

Roughly 80% of our revenue is recurring. According to Frost & Sullivan, we hold the #2 position in Next Gen 9-1-1 core services in the United States and the #3 position in call handling.
-- Jeff Robertson, President of Allerium

Management is watching operational integration while targeting annual overhead savings of $16 million to $18 million. Shedding noncore units aligns the business around pure-play public safety.

Assuming we obtain regulatory approval and close the strategic sale transaction of our S&S business, we will not only have a stronger capital structure, but we will be focused and aligned around Allerium's market-leading public safety business that Jeff has been building.
-- Kenneth Traub, Chairman, President and CEO
