Marvell Q2 Earnings Preview: Stock Rebounds 49% From Lows, Q3 Guidance May Determine Whether Recovery Sustains

TradingKey - Marvell Technology (MRVL) will report its Q2 FY2027 financial results after market close on August 27, Eastern Time. Over the past three months, the stock price has experienced a clear surge, pullback, and rebound: hitting an all-time high of $329 on June 18, falling to a recent low of $162.90 on July 29, and subsequently rebounding to around $243 currently.

Based on the latest price of $243, the stock remains approximately 26.2% below its all-time high, but has rebounded about 49.1% from its recent low; during the drop from $329 to $162.90, the maximum drawdown was roughly 50.5%. This indicates that market pricing for Marvell has shifted from previous high optimism to a re-evaluation of AI order execution, growth sustainability, and valuation digestion.

In May, management provided Q2 FY2027 guidance as follows: revenue of $2.700 billion, plus or minus 5%, up about 35% year-over-year; Non-GAAP diluted earnings per share of $0.93, plus or minus $0.05; and a Non-GAAP gross margin range of 58.25% to 59.25%.

Looking at single-quarter figures, the guidance itself is not weak, but the market has already shifted its focus to quarters further ahead. Management made fairly aggressive statements on the previous quarter's earnings call, including expectations that year-over-year revenue growth in each quarter of FY2027 will accelerate sequentially, observation of extraordinary AI-related bookings, and a significant upward revision to revenue prospects for FY2027 and FY2028. The company previously provided full-year FY2027 revenue guidance of approximately $11.5 billion, up about 40% year-over-year.

Therefore, the test for this earnings report is not as simple as whether Q2 can meet guidance, but whether the performance guidance in the report can beat expectations.

Wall Street View: Q2 Expectations Only Slightly Above Guidance, Pressure Concentrated on Q3 and Full-Year Targets

The market consensus estimate for Q2 FY2027 stands at approximately $2.7084 billion in revenue, which is only about 0.3% higher than the midpoint of the company's guidance of $2.7 billion.

This means that Wall Street has not set a revenue target for the quarter far above management's guidance. Even if the company reports revenue and non-GAAP EPS that meet or slightly beat expectations, relying solely on Q2's "strong figures" may not be enough to drive a sustained upward movement in the stock price.

The market is currently focusing more on expectations variance for Q3 FY2027. Consensus estimates have already risen to approximately $3.03 billion in revenue and GAAP EPS of around $0.54, representing quarter-over-quarter revenue growth of over 13%.

In other words, investors are not expecting a simple one-off beat, but rather management's Q3 guidance to be significantly higher than the market consensus of $3.03 billion. If Q3 guidance merely aligns with or falls below consensus, even if Q2 revenue and earnings exceed expectations, the market may still interpret it as a sign of slowing growth.

Gross margin is another key metric. The company's non-GAAP gross margin guidance for the current quarter is 58.25% to 59.25%, compared with 58.9% last quarter and a market expectation of around 59%. If gross margin can approach or reach the upper end of the guidance while revenue growth continues to accelerate, the market will be more inclined to believe that the volume ramp-up of products such as custom XPUs (ASICs) is driving economies of scale. Conversely, if revenue growth relies on price concessions, gross margin performance could undermine the quality of growth.

AI Data Center Business Remains Marvell's Core Investment Thesis

Marvell's data center revenue last quarter came in at $1.833 billion, accounting for roughly 76% of total revenue and growing about 27% year-over-year. Management expects full-year growth of around 50% for this segment in FY2027 and provided an outlook of approximately 55% growth for FY2028. For the current valuation, whether the data center business can continue to scale and maintain rapid growth is more critical than short-term fluctuations in other segments.

Therefore, the primary focus in this earnings report is whether the data center revenue share remains close to 76% and whether its year-over-year growth rate stays on track toward management's full-year target of about 50%.

If the data center share rises and growth is maintained or even accelerates further, the market will view AI demand as continuing to filter through to Marvell's custom chips, networking, and related infrastructure products; however, if the share or growth rate drops noticeably, it could prompt the market to reassess the slope of AI growth.

Simply put, the market's focus is on whether the data center business can convert AI demand into sustained revenue growth and higher quality earnings. Whether the non-GAAP gross margin can reach the upper end of the 58.25% to 59.25% guidance range will serve as a key basis for judging this capability.

Marvell's Partnership With Google: The Biggest Catalyst for the Near-Term Stock Price

On August 19, Marvell announced the issuance of stock warrants to Google, driving its stock price up by 9.85% that day.

Under the terms of the disclosure, Google can receive up to approximately 58.97 million Marvell stock warrants, representing about 6.7% of existing share capital, with an exercise price of $206.58. If fully exercised, the corresponding nominal value is approximately $12.18 billion.

It should be noted that this figure cannot be directly interpreted as capital already invested by Google, nor can it be considered recognized revenue.

Approximately 97.7% of the warrants are subject to performance-based vesting, where one tranche of warrants is unlocked for every $500 million of custom products Google purchases from Marvell, totaling 240 tranches extending through FY2033; about 2.3% vest quarterly on a time basis. Multiplying 240 tranches by $500 million each corresponds precisely to roughly $120 billion in cumulative purchases, aligning with management's stated TAM opportunity of approximately $120 billion through FY2033.

The significance of this collaboration lies in tying Google's procurement to potential share ownership, creating long-term alignment of interests while also bringing potential equity dilution. The market will closely monitor the revenue recognition progress of Google's orders.

Wall Street's Average Price Target Is $291: Long-Term Optimistic, Short-Term Cautious

Currently, Wall Street's surface-level stance on Marvell remains relatively optimistic. Of the 29 analysts, 24 hold Buy ratings, with the average price target about 19.84% above the current stock price, and there are no Sell ratings. The company's positions in AI data centers, custom ASICs, and its partnership with Google also provide a strong growth narrative for the next few years.

However, from an earnings trading perspective, the market is not merely waiting for a routine Q2 beat. Because the Q2 revenue consensus is only about 0.3% above the midpoint of company guidance, the scope for a surprise from the current quarter's figures may be limited.

What will truly determine the stock's direction is whether Q3 guidance can significantly exceed the consensus of $3.03 billion, whether the full-year target of approximately $11.5 billion for FY2027 will be revised upward, and whether management can further confirm the growth outlook of around 55% for the data center business in FY2028.

Therefore, market sentiment can be summarized as "long-term optimistic, short-term cautious." Optimism stems from AI data center demand, custom chip opportunities, and the potential long-term orders from the Google partnership. Caution arises because valuations have already priced in a significant portion of growth expectations, meaning any lackluster Q3 guidance, unchanged full-year targets, or lower-than-expected data center growth could be interpreted as a slowing growth trajectory.
