BlackRock Is Building a Bitcoin ETF for Investors Who Can't Stomach the Swings

Source The Motley Fool

Key Points

  • BlackRock filed a prospectus for the iShares Bitcoin Managed Protection ETF (PBIT), which could launch as early as January 2027.

  • Rather than holding Bitcoin directly, the buffered fund uses Treasury bills and IBIT options to limit losses.

  • Crucial details like the management fee are still blank, and the complex options structure could result in a heavier tax bill than owning a spot Bitcoin ETF.

Bitcoin (CRYPTO:BTC) has made plenty of early investors rich. It has also put them through some brutal stretches, including a slide of roughly 75% from its late-2021 peak to its late-2022 low. For many investors, that volatility is the main reason to stay on the sidelines.

Asset manager BlackRock (NYSE:BLK) thinks it has a product for that crowd. And I'm not talking about the market-leading iShares Bitcoin Trust (NASDAQ:IBIT), a straight-up spot-price Bitcoin tracker with $67 billion of assets under management -- also managed by BlackRock's iShares arm. No, IBIT is getting a safer sibling.

On Oct. 19, the gigantic asset manager filed a preliminary prospectus with the Securities and Exchange Commission for the iShares Bitcoin Managed Protection ETF, which would trade under the ticker PBIT. The fund aims to deliver Bitcoin-linked gains up to a ceiling while cushioning some losses.

Here's what the filing says, and what it leaves out.

It's a filing, not a fund (yet)

PBIT isn't trading yet. The filing becomes effective 75 days after submission, which would be as early as January 2027, and BlackRock can revise the terms before then. Several important details are still blank, including the annual management fee and the listing exchange.

The fund would join BlackRock's growing Bitcoin lineup. The iShares Bitcoin Trust launched in January 2024 and is now the largest spot Bitcoin ETF by a wide margin. IBIT took in $665.2 million of new money on Oct. 19 alone. iShares added a Bitcoin income fund in June, and Bloomberg Intelligence analyst James Seyffart counts PBIT as BlackRock's third Bitcoin ETF filing.

How the protection works

PBIT won't own Bitcoin or IBIT shares directly. Instead, it will build its exposure with options on IBIT (or similar Bitcoin products) while holding Treasury bills and other short-term, high-quality debt alongside them.

The structure rests on three overlapping "tranches," each lasting roughly three months. Each tranche combines two option positions:

  • A purchased call option with a strike price around 90% of IBIT's price when the tranche starts. This provides the Bitcoin exposure and sets the floor. If IBIT falls below that level, the tranche's loss is capped at roughly 10% before fees.
  • A sold call option at a higher strike price. The premium from this sale helps pay for the purchased call, but it also caps the tranche's potential upside. Gains above that strike go to whoever bought the option.

The tranches start a month apart, so each month one expires, and a new one begins. Interest earned on the fund's cash-equivalent holdings helps offset the cost of the options.

Read the fine print

"Broad discretion" appears again and again in the prospectus. BlackRock can change the floor, the number of tranches, the timing, basically the whole recipe.

The call-option floor applies per tranche, not per investor. Each tranche's 10% floor is measured from that tranche's starting price. If IBIT rallies after a tranche begins, an investor who buys in at the higher price could lose more than 10% before the floor kicks in. If you want a higher floor, you need to wait for the next tranche of downside protection. Investing in this ETF requires homework.

Fees come on top. The floor and cap math leaves out fees. So every number above gets a little worse once the blank fee value is converted to an actual percentage. For what it's worth, the iShares Bitcoin Premium Income ETF comes with a 0.65% annual fee, far above IBIT's 0.25%.

Extreme volatility cuts both ways. The prospectus warns that wild markets can shrink both the upside cap and the downside protection.

The tax strategy gave me a headache. BlackRock expects the options to be marked to market each year and taxed at 60% long-term and 40% short-term. The filing also notes that certain tax rules could leave shareholders with a lower after-tax return than they would receive by holding a Bitcoin fund directly. Why? That's above my pay grade. Give your tax accountant a copy of BlackRock's prospectus.

One more detail stands out. Because PBIT's options reference IBIT, the prospectus acknowledges that the new fund could indirectly push more assets into IBIT, generating additional fees for BlackRock and its affiliates. That isn't a red flag by itself, but it shows how the new product makes business sense for BlackRock and how the fund can indirectly lead to more Bitcoin purchases by IBIT.

A crowded niche with no established giant

Defined-outcome Bitcoin funds aren't new. Several smaller ETF issuers have offered versions since early 2025, with protection levels ranging from full principal protection to a 20% maximum loss. None has attracted much money.

BlackRock's brand and distribution network could change that. IBIT's rapid rise showed how quickly financial advisors and long-term investors might adopt a Bitcoin product from a familiar name. A protected version could appeal to the same audience, particularly advisors who want to offer clients Bitcoin exposure with a smaller worst-case scenario. The upside is smaller too, but it's a toe in the crypto waters either way.

For BlackRock shareholders, PBIT is unlikely to move the needle on its own. It does show the company extending its lead in crypto ETFs by layering new strategies atop IBIT, much as it has done with stock and bond funds for decades.

Who might want PBIT?

PBIT could make sense for investors who want some Bitcoin exposure but would bail out of a plain Bitcoin fund after a steep drop. Giving up part of the upside is the price of admission, and in a strong Bitcoin rally, the price of lost opportunity could be steep. Then again, the same is true for staying entirely on Bitcoin's sidelines.

Investors comfortable with Bitcoin's full ride may be better served by a direct fund like IBIT, which has no cap and simpler tax treatment. Everyone else should wait for the buffered fund's final prospectus, especially the fee, before drawing conclusions.
