SK Hynix Affiliate Becomes Kioxia’s Largest Shareholder as Toshiba Cuts Stake to 14.12%

TradingKey - On August 10, Asia-Pacific time, Japanese memory giant Kioxia issued a statement saying that as of August 3, its former parent company Toshiba had reduced its stake from 14.48% to approximately 14.12%. This reduction made Bain Capital's investment vehicle BCPE Pangea Cayman2 Kioxia's largest shareholder, with a 14.19% stake.

Notably, Kioxia disclosed in its annual report that SK Hynix ( SKHY) holds bonds convertible into "almost all" of BCPE Pangea Cayman2's voting rights, and listed this as a risk factor, stating it could trigger conflicts of interest.

As early as the 2018 transaction where Bain Capital led an $18 billion acquisition of Kioxia (formerly Toshiba Memory), SK Hynix participated as a core member of the consortium, contributing nearly 395 billion yen (approximately $3.5 billion to $3.7 billion based on 2018 exchange rates). As part of the deal's terms, SK Hynix committed that, unless permitted by Kioxia, its share of voting rights would not exceed 15% before 2028.

Toshiba's previous share reductions in tranches were key to this round of changes in the shareholder structure. In early July 2026, Bain Capital completed its final round of block share sales since Kioxia's IPO at the end of 2024, officially clearing out its directly held core common stock equity.

Although Bain Capital's direct holdings have been completely exited, its dedicated vehicle previously established for SK Hynix's structured investment (such as BCPE Pangea Cayman2, which holds a 14.19% stake) remains. As Toshiba further reduced its holding to 14.12% on August 3, this special purpose vehicle (SPC) passively became Kioxia's largest shareholder.

Driven by the AI wave, Kioxia's share price once surged by over 4,800% since its IPO at the end of 2024, yielding a cumulative total return of approximately $17 billion for Bain Capital. As of August 11, Kioxia's share price stood at 48,000 yen, down about 56% from its historical high of approximately 111,200 yen reached in late June.

Analysts pointed out that the nuance of this shareholding structure lies in the fact that Kioxia and SK Hynix are direct competitors in the global NAND flash memory market.

According to Counterpoint data, in the first quarter of 2026, Samsung ranked first with a 29% market share, SK Hynix (including Solidigm) ranked second with 18%, and Kioxia ranked third with 14%. It is rare among listed companies for a competitor to hold "almost all voting rights" of the largest shareholder through a convertible bond arrangement.

Some market observers believe that against the backdrop of Toshiba's continuous share reductions, whether SK Hynix will breach the 15% voting rights limit will affect the competitive landscape of the global NAND market.
