On its third-quarter 2026 earnings call, held on Oct. 23, 2026, Byline (NYSE:BY) announced record net income and revenue while holding assets below the $10 billion mark. Managing asset growth near that threshold lets the bank expand profitably without incurring immediate regulatory costs. Strong core deposit expansion gives it a durable funding base to compound shareholder value.

Three key takeaways stood out on the call.

1. Acquisition of Illinois State Bancorp Provides Asset Growth Certainty

The pending purchase of Illinois State Bancorp gives the bank a clear path across the $10 billion asset threshold while expanding its Chicago footprint. Timing the deal to close in 2027 defers costly regulatory requirements until 2028.

We also announced the acquisition of Illinois State Bancorp. And with that, the analyst community gets the certainty they have been so eager to obtain as to when we will cross the $10 billion threshold.
-- Roberto R. Herencia, Executive Chairman and Chief Executive Officer

2. Prioritizing Core Deposits Protects Long-Term Bank Valuation

Core deposits from local commercial relationships provide cheaper and more stable funding than wholesale market loans. Management reduced wholesale borrowings by $80 million during the quarter as annualized deposit growth reached 8.5%.

As you know, we have always been very focused on the right-hand side of the balance sheet. We believe that fundamentally that is really where the value of a financial institution lies. And, you know, we will continue to always be prioritizing you know, deposit growth going forward.
-- Alberto J. Paracchini, President

3. Disciplined Capital Allocation Drives Balanced Shareholder Returns

Balanced capital deployment allows the bank to fund internal growth and mergers and acquisitions (M&A) while rewarding owners through higher dividends and share buybacks. During the quarter, it raised its dividend by nearly 17% and repurchased $20.2 million of common stock.

Importantly, we executed across all 4 of our capital priorities during the quarter. Supporting organic growth, increasing our dividend, deploying capital toward M&A and returning capital through share repurchases.
-- Alberto J. Paracchini, President

Looking Ahead

Commercial loan pipelines remain healthy, and management isn't hiding its satisfaction with current momentum. The bank relies on disciplined underwriting and operating efficiency to protect profitability as it scales.

Looking ahead to the fourth quarter, our pipelines remain healthy and we are confident in our ability to serve customers and compete effectively in the market.
-- Alberto J. Paracchini, President

Pending deal integration will expand market presence while adding low-cost funding.

We believe the combination will strengthen our deposit base, expand our market presence, and add new customers. We remain optimistic about the opportunities ahead and focused on delivering long-term value to our shareholders.
-- Alberto J. Paracchini, President
