Oklo Stock Drops After Announcing $1 Billion Share Sale. Should Investors Panic?

Oklo Inc. (NYSE:OKLO) shares have dropped by nearly 20% over the past month as a slew of negative news became public.

On Sept. 1, it was revealed that CEO Jacob Dewitte sold roughly 120,000 shares for around $4.6 million. After the sale, Dewitte still holds more than 10 million shares valued at roughly $400 million. But it's never reassuring to see a CEO and co-founder of a company sell down their position.

Then, on Sept. 11, shares plunged 7% when Oklo revealed a new $1 billion stock sale program. The program authorizes the sale of around 27 million shares, diluting shareholders by up to 14.6%.

Oklo is one of the leading companies in the U.S. pioneering the adoption of small modular reactors, or SMRs. SMRs are essentially miniature nuclear power plants that can be built faster with lower upfront costs than larger, more conventionally sized nuclear facilities. Those advantages are a big plus to AI companies seeking to scale energy-intensive data center infrastructure as quickly and efficiently as possible.

The market reacted negatively to the stock sale news. But informed investors shouldn't have been surprised. In fact, capital raises will likely be the norm for Oklo going forward, perhaps for many years to come. And there's one clear reason why.

Here's why Oklo investors should expect more stock dilution

It's important to note that this is far from Oklo's first attempt to raise more capital since going public.

Since 2023, Oklo has issued additional shares nearly every quarter, boosting its total shares outstanding by more than 175% over that time period. This recent share sale authorization actually arrives just as the company's previous share sale authorization expired. In May, the company agreed to sell a similarly sized $1 billion worth of stock. It fully executed on this program, selling 17,971,448 shares at an average price of $55.64.

That program expired on Sept. 10. The next day, Oklo announced its new stock sale program.

Investors should not have been surprised by the latest share dilution any more than they should have been when the last program was announced. Nor should investors be surprised when another stock sale program is announced at the expiration of this one.

SMRs, the technology Oklo specializes in, have received newfound enthusiasm given the AI industry's rapidly rising demands for power. Oklo has signed many deals with growing data center businesses, but firm financial commitments remain only a fraction of the total expected project cost.

It's important to remember than while 80 SMR projects are currently in development worldwide, only two such systems have ever been successfully commercialized. The sector has experienced several high-profile project cancellations. After the collapse of a major SMR deal in 2024 spearheaded by a competitor to Oklo, one industry analyst warned that "[i]n a rational world, no utility or government would invest another dime on these theoretical reactor concepts."

Last quarter, Oklo posted a net loss of $48.5 million -- the largest quarterly net loss in company history. Capital expenditures reached $94 million last quarter, a 1,760% increase year-over-year.

Unlike other SMR developers, Oklo intends to finance, build, own, and operate its nuclear plants, selling the electricity directly to customers. As one industry report observes, "That approach lets a buyer obtain nuclear power without becoming a developer or taking on responsibility for deploying unfamiliar reactor technology." But it also shifts much of the financial burden to Oklo.

Oklo remains a promising SMR stock despite recent share price weakness. But ongoing capital raises will likely be the norm moving forward, even if the scale of these raises diminishes as revenue-generating projects come online.
