Intel Q2 $16.1B Beat: $20B Capital Raise, Foundry 14A Tesla Deal, Agentic AI CPU Demand

TradingKey - Intel (INTC) showed strong growth in Q2 with a 25% increase in revenue from last year to $16.1 billion, the largest growth in over 15 years. Revenue for the Data Center and AI units rose 59% to $6.3 billion, primarily from accelerated demand for server CPUs amid deployments of agentic AI. Intel took advantage of this demand by announcing a $20 billion common stock offering, which had originally been set for $15 billion and was increased based on demand. Intel will use these funds to expand manufacturing. This further indicates Intel’s new focus to not compete with NVIDIA or AMD for AI accelerators, but to focus on providing AI infrastructure and supplying CPUs for coordinating tasks and managing AI workloads. Recently, Intel Foundry Service’s 14A process also received validation with Tesla selecting it to produce their Terafab AI chip. INTC has pulled back from the $103-105 zone and is currently testing support at $95.68 with a descending trend line. Whether the Fed’s Jackson Hole speech (August 21-22) will convince management the confidence to invest is still to be seen. Intel management will shed some light on their service foundry and capital allocation at the Deutsche Bank Technology Conference on August 26.

Q2 Revenue $16.1B (+25% YoY): Strongest Growth in 15+ Years

Intel is projecting its second quarter of 2021 revenue to be $16.1 billion, which is a 25% increase, year over year. The company is reporting second quarter adjusted earnings to be $0.42 per share. More notably, Non-GAAP gross margin is reported to be 41.8% of the second quarter revenue, as compared to 29.7% of the second quarter revenue last year.This is a positive indication of both manufacturing effectiveness and pricing power.

Growth was primarily through Data Center and Artificial Intelligence (DCAI) which was $6.3 billion and grew 59% year over year. The Client Computing and Physical AI division generated $8.9 billion and grew 13% year over year. This division along with DCAI brought Intel product revenue to $15.1 billion. The rebound of the data center is associated with something Intel calls agentic AI.

 This type of AI, unlike the earlier iteration of AI workloads, not only impacts NVIDIA and AMD, but, Intel as well as there is a need for conventional CPUs to perform tasks and workload coordination.

Agentic AI Changes the CPU Equation: Demand Exceeding Capacity

This is a pivotal shift for Intel's business model. The company is telling Reuters that demand for server CPUs has outpaced their manufacturing capacity. While the company still lags behind NVIDIA in the accelerator GPU market, they stand to gain from the rest of the AI infrastructure.

Long-term contracts are also validating this opportunity.

 Data center CPUs and XPU’s joined Intel multi-year deals. The closing of these deals bind both sides to SHIPS/SPRINGS, purchase commitments, and, in some instances, price commitments. The sales extended into the 3-5 year future range. Intel’s exposure to future demand escalates capital spending justification.

$20 Billion Capital Raise: Unexpected Demand Increased from $15B to $20B

On August 10, Intel put a preliminary $15B equity offering. Due to unexpected investor interest, Intel increased the offering to a final $20B. Intel priced 210.5M new shares at a price of $95 each. The underwriters were allocated options to purchase an additional 31.6M new shares. With an anticipated exercise of these options, Intel is targeting net proceeds of $19.7B.

The proceeds from the offering will allow Intel to use the funds as working capital and fund capital expenditures to support its manufacturing needs. This offering greatly improves Intel's ability to fund capital expenditures for equipment and tooling to support its manufacturing roadmaps without having to rely primarily on debt funded offerings. As of the end of June, Intel had $12.9B of cash on hand and $16.9B of cash and cash equivalents. Intel has a long-term debt obligation of $48.5B. The potential value of the offering to Intel significantly more than offsets the potential increased long-term debt.

The potential offering will cause dilution of Intel's stock. By offering 210M+ shares, Intel will be increasing its equity by roughly 4%. However, if the new offering does help Intel secure profitable foundry contracts, the increased offering will help reduce Intel's debt contraction.

Foundry 14A Gets Major Validation: Tesla Terafab AI Chip Selection

Intel's Foundry Services reported $5.8B in Q2, an increase of 31% from the previous year. While most of the revenue during this period was derived from Intel's own foundry contracts, there is also a growing demand from customers for its 14A process with high-volume manufacturing expected to commence in 2028.

In July, CEO Lip-Bu Tan said Intel was “fully committed” to 14A, whereas previously he said the company would consider dropping 14A. It appears the company's commitment has been justified based on increasing engagement from customers.

First, Reuters’ article stated that Tesla chose Intel’s 14A process for its planned Terafab AI chip project. This is the validation Intel needed, and it is critical. Intel needs customers for its foundry business to avoid taking on the financial burden to continue producing its own processors. Fabrication plants can be an important independent contributor to the bottom line for the U.S. semiconductor industry if there is enough demand from foundry clients.

Free Cash Flow Remains Negative but Investment Rationale Is Clear

Although Intel had $7B in operating cash flow and a free cash flow of negative $8.4B in Q2, Intel is justified in raising equity capital. This is because Intel is making large, upfront investments in partnership with semiconductor foundry clients. Building state-of-the-art semiconductor fabrication facilities costs many billions of dollars before they become significant revenue generators for a fabrication client.

The new $20B equity injection lessens Intel’s financing burden, yet Intel still needs demand from its foundry clients and an improvement in manufacturing yields and margins on its products for free cash flow to be perpetually positive.

Q3 Guidance Shows Momentum Continuing: $15.8-16.8B, $0.38 EPS

For the third quarter of 2026, Intel expects a revenue range of $15.8 to $16.8 billion, which is robustly above the ~$15.1 billion revenue consensus among analysts. Intel also anticipates non-GAAP EPS of $0.38 for the third quarter of 2026, as well as gross margins of approximately 42%. Stronger demand for data center services is not expected to be isolated to a single quarter.

Intel is also working to strengthen its commercial arm. On August 7, Intel appointed Dean Jarnac, previously the chief sales officer at Marvell, as the executive vice president and chief sales officer of the company. Jarnac will oversee global customer relationships across client computing, data centers, AI, networking, and ASICs, as of September.

INTC Technical Setup: $95.68 Support Critical, $103 Resistance, Descending Trendline Pressure

At the 4-hour time frame, INTC is under pressure, trading around $96.69, after price was rejected from the $103-$105 zone. Price has sloped under the two important moving averages ($101.02 and $102.56) and critical support comes in at $95.68. If $95.68 support holds, INTC may try to recover toward the $101-$103 area. However, if $95.68 support is lost, this exposes the $88.31 level, with $81.72 as the subsequent important level.

Intel continues to trade under the descending trendline from the June highs. RSI has also fallen to the 44 level, from the 53 level, with the signal line being at 53, showing the addition of bearish momentum and a lack of oversold conditions. For a bullish reversal of INTC, the price needs to rise above the $103.16 level and clear the trendline, at which point $109.56 becomes resistance.

Key Technical Levels (Through Aug 26 & Beyond)

  • Level Support: $95.68 (critical hold zone for recovery)
  • Upside Resistance: $101 - $103 (moving averages, retest zone)
  • Major Resistance: $103.16 (descending trend line) and $109.56 (extended)
  • Breakout Support: If $95.68 breaks, expect $88.31 or $81.72
  • RSI: 44 (oversold, but bullish at 53)

Bottom Line

Intel Q2 reported $16.1B revenue (25% increase YoY, strongest in 15 years), along with DCAI of $6.3B (positive 59% YoY). Gross margin improved to 41.8%. The $20B capital raise was successfully completed (increase from $15B). Foundry 14A: Tesla Terafab contract and validations. Long term CPU contracts (3-5 years), volume and pricing are expected to be solid. Q3 guide is expected to be in the range of $15.8 - $16.8B. Free cash flow is expected to remain negative, but the investment rationale behind the capital raise is apparent.

Technical: INTC is trading at $96.69, testing $95.68 crucial support. RSI 44, is bullish. The downside is capped at $103.16 by the descending trend line. A break of $95.68 would expose $88 - $81. In the next couple of weeks, watch for the August 26th Deutsche Bank Tech Conference and Jackson Hole (Aug 21 - 22) as possible catalysts.

Thoughts to Buyers: From an investment standpoint, the persuasive case for Intel's turnaround is building. There is a strong, agentic AI demand for Intel CPUs, arguably to a greater extent than the GPU demand. The validation of Foundry 14A customers with Tesla is happening. The $20B capital raise alleviates the pressure for near-term financing. The execution of foundry economics, free cash flow, and competing with TSMC is critical, but for now, $95.68 support is a critical dividing line that will determine if the upward momentum towards the $103, to $109 range is justify able. Below $95.68, a deeper correction would be expected. This is my analysis and is NOT an investment recommendation.
