A $5.66 billion cash buyout offer from cloud giant Salesforce (NYSE: CRM) sent customer engagement software maker Braze (NASDAQ:BRZE) soaring 56.3% this week.

Braze stock changed hands at $45.86 as of the close on Thursday, Oct. 22, up 56.3% from Friday, Oct. 16's close through Thursday, Oct. 22's close. Across those five sessions, the S&P 500 (SNPINDEX: ^GSPC) was flat, and the Nasdaq-100 was down 0.8%.

Salesforce strikes a $5.66 billion deal for Braze

Announced Tuesday, Oct. 20, the definitive agreement gives Braze Class A shareholders $47.50 per share in cash, representing a 58% premium over its $30.04 closing price on Oct. 19. The $5.66 billion enterprise valuation delivers an immediate cash outcome for shareholders following a prolonged period of industrywide valuation compression in software. Under the terms, Salesforce will absorb the entire business, while Braze's chief executive officer, Bill Magnuson, and the core leadership team will transition to Salesforce post-closing.

Braze sells cloud-based customer engagement software, allowing consumer brands to automate personalized messaging across mobile apps, email, and text to enterprise marketers. Its technology coordinates real-time communications for high-profile clients like Canva, Instacart, Urban Outfitters, and Venmo. In its last reported quarter ended July 31, 2026, the company generated $227.2 million in revenue, up 26.2% year over year, demonstrating steady expansion across enterprise accounts.

Because this is an all-cash takeover at a fixed price, traditional valuation multiples like price-to-sales no longer govern the stock's daily movements. Instead, Braze now trades on merger-arbitrage dynamics, at $45.86 per share -- slightly below the $47.50 buyout offer to reflect transaction timing and regulatory closing conditions. This week's definitive buyout agreement flips the investment case from a long-term growth play into a short-term merger arbitrage bet.

What's next for Braze

The acquisition is expected to close during Salesforce's fiscal year 2028, which spans February 2027 through January 2028. Completion remains subject to customary closing conditions, including required regulatory clearances and a vote by Braze shareholders. The merger disclosure also specifies financial protections, including a $300 million regulatory failure fee payable by Salesforce and a $191 million breakup fee if Braze accepts a superior proposal.

For current investors, attention shifts entirely from quarterly operational execution to deal completion mechanics. If the acquisition closes as planned, shareholders will receive the $47.50 cash payout per share. However, if regulatory bodies or unforeseen obstacles break the deal, the stock faces downside risk back toward its pre-announcement trading level near $30.

Is Braze Stock a Buy?

Generally speaking, buyout targets are not great investments anymore. The takeover price is the final destination, and arbitrage mechanics usually leave little room for gains before the deal's anticipated closing date.

Braze is no exception. As long as you expect the company's shareholders to vote in favor of Salesforce's bid, and you don't see insurmountable stumbling blocks in the regulatory reviews, you should expect to sell your Braze stock for $47.50 per share in (roughly) calendar year 2027. That's less than 4% above today's stock price, comparable to the annual interest rates on money market accounts nowadays. And you'd shoulder the risk of a potential failure to close the deal, so it's an extra risk with no reward.

And if you expect regulators or Braze holders to block the buyout, you've probably already cashed in your Braze gains and moved on to other investment ideas. That's for the best.
