Why SK Hynix Paused Solidigm’s US IPO Assessment: Market Volatility and Shareholder Concerns Take Center Stage

Source Tradingkey

TradingKey - During the Asian trading session on October 23, SK Hynix (SKHY) announced that it has suspended the evaluation of a potential IPO and pre-IPO financing plan for its chip subsidiary, Solidigm.

The company stated that recent financial market volatility has intensified, with semiconductor stocks generally pulling back, making it necessary to re-evaluate whether proceeding with an IPO at this time would benefit SK Hynix and its existing shareholders. The company also emphasized that this decision does not reflect any change in Solidigm's growth prospects or investment needs.

Earlier, South Korean financial regulators raised questions about whether the plan involved restrictions on dual listings and whether it could adequately protect the interests of the parent company's shareholders.

In the South Korean market, as of press time, SK Hynix traded at 1.279 million Korean won, up over 4%, but was still down about 32.65% over the past month. Notably, the stock fell for seven consecutive trading days from October 6 to 15, with a cumulative drop of over 30%, reflecting significantly heightened volatility in South Korean semiconductor stocks recently.

In U.S. trading on October 22 Eastern Time, SK Hynix ADRs fell 8% to close at $131.68; the Nasdaq Composite Index declined 2.6% to close at 26,008.86 points, marking its largest single-day drop since early June.

Reuters noted that Meta (META) and Tesla (TSLA)'s and other tech giants' earnings reports failed to ease market concerns about the scale and returns of AI investments, triggering a sell-off in tech stocks, with the semiconductor sector falling particularly sharply.

Meanwhile, Middle East tensions drove up oil prices, compounding market concerns about an inflation rebound and Federal Reserve interest rate policy, further weighing on investor sentiment.

Why Were Solidigm's IPO Plans Paused?

Solidigm is a US subsidiary formed after SK Hynix acquired Intel's NAND flash business, primarily specializing in enterprise solid-state drives (eSSDs) and NAND flash products.

Amid growing demand for high-capacity storage from AI data centers, SK Hynix previously considered listing Solidigm in the US to raise funds for expanding its US production facilities.

According to a Reuters report citing people familiar with the matter, the previously discussed IPO plan could raise $10 billion to $15 billion, with a corresponding valuation of up to around $150 billion.

Both South Korea's Financial Supervisory Service and Financial Services Commission previously raised objections to Solidigm's US listing, citing guidelines related to duplicate listings in South Korea. Regulators are concerned that an independent listing of the subsidiary could affect parent company shareholders' indirect equity interests and future earnings.

If Solidigm brings in external investors by issuing new shares, SK Hynix's ownership stake in the subsidiary could decline, which would accordingly reduce the indirect economic interest held by existing SK Hynix shareholders.

Meanwhile, the value of the subsidiary's equity held by the parent company may not be fully reflected in SK Hynix's stock price, which is also a key risk concerning South Korean regulators and some investors.

US Expansion Plan Still Needs Financing

SK Hynix stated that pausing the evaluation of Solidigm's IPO does not imply a change in its growth prospects or investment needs. The company will continue to evaluate the timing, scale, and financing methods of investment, exploring support for Solidigm's development through various channels to fund its new chip manufacturing facility in the U.S.

Going forward, key areas to monitor include how SK Hynix will arrange financing for Solidigm's expansion and how it will respond to concerns from South Korean regulators regarding duplicate listings and shareholder protection.

For investors, alternative financing options, the progress of the U.S. plant construction, and related capital expenditures will be crucial factors in evaluating the subsequent impact of the plan.
