Meta Closes $8B Shareholder Lawsuit as Zuckerberg Reaches Settlement

TradingKey - On July 18, Beijing time, tech giant Meta and its CEO Mark Zuckerberg, along with several current and former directors and executives, settled a highly publicized shareholder lawsuit related to user privacy.

The initial claim sought damages of up to $8 billion. The parties announced the settlement as court proceedings in Delaware Chancery Court entered their second day; however, specific details regarding the settlement agreement, including the final amount and payment method, have not been disclosed.

The shareholders who initiated this lawsuit accused Zuckerberg and others of failing to effectively fulfill their management duties during their tenure, allowing repeated violations of user privacy on the Facebook platform. This negligence directly resulted in the company incurring billions of dollars in fines and legal costs due to numerous privacy violations.

Key contentious events include a $5 billion fine imposed by the U.S. Federal Trade Commission (FTC) in 2019 against Facebook for violating a 2012 privacy agreement, as well as legal repercussions from the Cambridge Analytica data breach scandal.

Based on these allegations, plaintiffs sought compensation from 11 defendants — including Zuckerberg, former COO Sheryl Sandberg, and board member Marc Andreessen — for losses suffered by the company due to their actions. However, the defendants have consistently denied these serious allegations and argued that the plaintiffs' claims constitute "extreme assertions" lacking sufficient factual and legal basis.

According to Meta's official website, since 2019, it has invested "billions of dollars" into user privacy protection efforts to restore regulatory compliance and public trust.

Meta's stock price also seems to have been somewhat affected by the commencement of this case. As of market close on July 17 local time, Meta's stock was priced at $701.41 per share, down 0.21%, continuing a downward trend that began on July 16 (the first day of hearings).
