On its third-quarter 2026 earnings call, held on Oct. 20, 2026, Dime Commercial Bancshares (NYSE:DCOM) announced a definitive agreement to acquire Empire State Bank. The deal expands physical branch reach across Staten Island. At the same time, shifting focus from real estate to commercial lending strengthens fundamental earnings power. Three takeaways from management's comments stand out.

1. Commercial Business Loans Expanded by 30% Year over Year

Management continues to pivot the bank away from real estate toward commercial and industrial (C&I) loans to businesses. Expanding the commercial loan pipeline diversifies revenue and builds operating deposit relationships with core commercial clients.

Year-over-year growth in business loans was approximately $929 million, which represents 30% year-over-year increase.
-- Stuart H. Lubow, President and Chief Executive Officer

2. Acquiring Empire State Bank Completes New York City Footprint

The acquisition adds a $600 million-asset commercial bank in Staten Island to strengthen core retail funding. Adding Empire State Bank brings in granular, low-cost deposits that help protect net interest margin (NIM), which measures the difference between interest earned on loans and interest paid on deposits.

The transaction expands Dime's presence to all 5 boroughs of New York City, and we believe Empire's granular deposit base will have real value in a higher rate environment.
-- Stuart H. Lubow, President and Chief Executive Officer

3. Portfolio De-Risking Targets Higher Long-Term Return on Assets

Management reduced its commercial real estate (CRE) concentration ratio to 338% of capital to lower risk relative to regional peers. Lowering CRE concentration while expanding business lending supports a target return on assets (ROA), which measures net income earned relative to total assets, above 1.31%.

Our goal really is to get the earnings stream of this company to a 1.30-plus ROA by the back half of 2027.
-- Avinash Reddy, Senior Executive Vice President, Chief Operating Officer and Chief Financial Officer

Looking Ahead

Market disruption across New York City creates strong momentum for acquiring commercial clients. Private banking teams and deep liquidity provide structural advantages. Management is prioritizing deposit pricing discipline and loan repricing.

The disruption in our local marketplace remains very high and the environment for our organic growth strategy as it relates to acquiring clients and bankers continues to be very attractive.
-- Stuart H. Lubow, President and Chief Executive Officer

With team investments complete, long-term performance hinges on organic execution.

So strategically, I think we're really in a spot where we really got to execute and grow the business.
-- Stuart H. Lubow, President and Chief Executive Officer
