Key Points

  • The developer of the Claude large language model filed its public prospectus on Oct. 26, paving the way for a pre-Thanksgiving IPO.

  • Anthropic’s proposed insider share lockup schedule is about as retail-investor-unfriendly as it gets.

  • Additionally, history shows that tech-driven IPOs often stumble out of the starting gate.

  • Motley Fool Issues Rare "Total Conviction" Buy Alert ›

This year has been packed with history-making moments, including new highs for the Dow Jones Industrial Average, S&P 500, and Nasdaq Composite, as well as a record-shattering initial public offering (IPO), courtesy of Space Exploration Technologies (NASDAQ:SPCX), better known as SpaceX. The SpaceX IPO raised $85.7 billion, including the underwriters' overallotment, nearly tripling Saudi Aramco's $29.4 billion IPO cash raise.

But SpaceX's time atop Wall Street's pedestal may be short-lived. Anthropic, the developer of the Claude large language model, filed its public registration statement (S-1) on Oct. 26. This mile-long prospectus provides investors with everything from financial statements to the company's risk factors.

Missed AI’s "Act 1"? Act 2 Could Be 15x Bigger. Most investors think they missed the AI boat because they didn't buy Nvidia in 2005. But according to our analysts, we’re only at the end of "Act 1"—the R&D phase. "Act 2" is the global rollout. Continue »

More importantly, it sets a timeline for Anthropic's public debut. Marketing and IPO roadshows to drum up support can begin no sooner than 15 calendar days after a company files its S-1. This sets up Anthropic for a pre-Thanksgiving IPO, with a valuation that could top SpaceX's debut.

Although the hype is tangible amid the artificial intelligence infrastructure build-out, Anthropic's prospectus exposed a core reason for investors to steer clear of this upcoming IPO.

Anthropic's IPO could be the greatest fleecing of retail investors in stock market history

When private companies go public, they usually establish a 180-day lockup period for insiders, consisting of high-ranking executives, board members, and early investors. This lockup period prevents insiders from taking advantage of retail investor euphoria shortly after a company debuts.

The SpaceX IPO flouted convention. Elon Musk's company adopted a staggered and accelerated share-unlock schedule that enabled early-release-eligible insiders to sell some of their shares two days after an earnings release, and on calendar days 70, 90, 105, 120, 135, and 180 after the IPO.

Anthropic's share-unlock schedule for insiders is similar to SpaceX's, but on steroids! The company's prospectus outlines 23 (yes, twenty-three!) separate earnings- and time-based lockup events for company insiders. Notably, this includes a share-unlock event on "the first trading day following the date of this prospectus." In other words, at least some insider shares will be eligible for sale the day Anthropic debuts.

While the company hasn't disclosed how many shares it plans to offer in its forthcoming IPO, Anthropic's accelerated insider lockup period threatens to rapidly increase its float (tradable shares) and bog down its share price.

But wait -- there's more

If there was ever a reason to avoid the Anthropic IPO, it's the company's unfriendly insider lockup schedule. But this isn't the only red flag.

Aside from Anthropic's otherworldly valuation and operating losses, history shows that tech-driven IPOs often stumble out of the starting gate.

Researchers at Truist Financial (NYSE:TFC) examined the performance of 30 of Wall Street's most prominent tech-focused IPOs since May 2012 and found that just 43% had risen 12 months after their debut. More importantly, the average year-one max drawdown for these 30 stocks was a staggering 55%. Interestingly, this data set was released before SpaceX's IPO, and Musk's company tumbled 54% from peak to trough.

What this data shows is that retail investor hype for IPOs quickly fades. While fast-track entry into the Nasdaq-100, Russell 1000, and Russell 3000 may buoy Anthropic's stock initially, more than 14 years of IPO performance data bodes poorly for retail investors.

Missed Nvidia in 2009? This Rare Signal Is Flashing Again

In 2009, a "Double Down" signal flashed for a little-known chipmaker called Nvidia. If you’d invested $5,000 then, you’d be sitting on $2,832,996 today.*

Now, for the first time in years, that same "Total Conviction" signal is flashing for a company 1/100th the size of Nvidia. It’s a key player in the $1.8 trillion space race, and with the stock recently sitting 20% off its highs, the window to get in early is closing fast.

Anthropic files for a $2 trillion IPO — the $80.7 billion loss is the decoy, the $450 billion compute bill is the riskAnthropic publicly filed its S-1 on October 26, revealing $16.29 billion of first-half revenue (+1,304% year over year) and a $80.7 billion net loss — of which $72.4 billion is a non-cash convertible-note charge. The real number is the $450 billion of signed, mostly non-cancelable compute commitments. Here is what the filing says, why NVDA, ARM and MU are the tradeable read-through, and the conditions that decide whether the AI trade passes its first public valuation test.
