Samsung Ends Patent Dispute With $897 Million Deal, Signs Five-Year Strategic Agreement With Netlist; NLST Surges 58%

TradingKey - On August 5, Eastern Time, South Korean memory giant Samsung Electronics and memory module manufacturer Netlist (NLST) formed a strategic alliance, ending a nearly decade-long patent dispute and establishing a new commercial partnership. Boosted by the news, Netlist's share price surged over 60% at one point during the day and closed up 58.32%, marking the largest single-day gain since the company's listing.

On August 5, Netlist and Samsung signed a five-year, $897 million cooperation agreement covering patent cross-licensing, technical cooperation, and product supply, ending all prior pending litigation. Under the agreement, Samsung will make an upfront payment of $239 million and pay quarterly patent royalties until 2031, up to a maximum of $32.9 million per quarter. In exchange, Samsung gains access to Netlist's patent portfolio for servers and high-bandwidth memory.

Samsung Semiconductor also committed to supplying Netlist with up to $300 million worth of DRAM and NAND products annually during the term of the agreement. In addition, Samsung will subscribe to 10 million newly issued common shares of Netlist for $1 million, with a five-year lock-up period.

The intersection between the two sides began with a joint development and cross-licensing agreement signed in 2015, with substantive patent disputes breaking out between 2020 and 2021. Netlist accused Samsung of breach of contract and infringement of several of its patents in the memory module field, subsequently expanding the litigation to core AI memory technologies such as HBM and DDR5.

Over the past few years, the U.S. International Trade Commission and multiple district courts have made several rulings. Although Netlist won in some initial trials and was awarded hundreds of millions of dollars in damages, Samsung chose to appeal or apply for patent invalidation, leaving the two sides unable to reach an agreement.

Over the past few years, Netlist has engaged in patent litigation globally with memory giants such as Samsung and Micron ( MU ), with high legal fees continuously draining Netlist's cash flow. In the first half of 2026 alone, intellectual property legal fees reached as high as $25.727 million. Although revenue for fiscal year 2025 rose to $188.6 million and a turn to profitability of $10 million was achieved in the first half of 2026, the company's cash reserves have remained tight.

This five-year cooperation agreement has a total value of $897 million, averaging approximately $180 million annually. This licensing revenue, which is near-pure profit in nature, will fundamentally improve Netlist's financial structure and inject a large amount of cash into the research and development of next-generation AI memory technology.

Integrating patent cross-licensing, equity investment, and wafer supply, this cooperation sends a clear signal: Samsung has fully recognized the value of Netlist's patents in the HBM and DDR5 fields.

For Samsung, putting an end to this years-long lawsuit at a cost of nearly $900 million and locking in a long-term technical partnership is highly cost-effective, whether measured by commercial returns or AI chip supply chain security.

Notably, Micron is still appealing a $445 million judgment against Netlist and is highly likely to view this settlement as an important reference. If Micron ultimately chooses to compromise as well, Netlist's valuation in the capital market and its voice in HBM/DDR5 patent standards could be re-priced by the market.
