The Aug. 5 sale of Datadog stock by CEO Olivier Pomel for a weighted average price of $286.71 per share came a day before the company’s second quarter earnings report was released. After the report became public, Datadog shares fell to a close of $229.29 due to the announcement that the tech giant’s largest customer was reducing usage, which impacted the Q3 sales forecast.
That said, Pomel’s sale was a non-discretionary disposition executed as part of a Rule 10b5-1 trading plan, adopted in December of 2025. Such plans enable insiders to sell shares at predetermined times to avoid concerns of trading on non-public information.
Moreover, Pomel’s disposal left his direct holdings of 612,747 shares largely intact, since the shares came from a combination of fully-vested stock options and conversion of Class B shares into Class A.
