Circle Asks SEC to Clarify Cash Treatment for Qualifying Payment Stablecoins

Source Newsbtc

TL;DR: Circle’s comment letter asks the SEC to align its crypto-asset proposal with payment-stablecoin rules. The company’s requested treatment remains a policy position, not a Commission decision.

Circle has set out how it wants payment stablecoins to fit into the SEC’s proposed framework for crypto-asset offerings. Its October 28 summary describes a comment letter submitted on October 20, with requests covering cash treatment, broker-dealer calculations and the role of continuing technical work on blockchain networks.

The submission is relevant because it addresses the financial plumbing of tokenized markets, rather than simply whether a token can be issued.

The letter asks for consistent treatment across rules

In its published summary, Circle calls for coordination between proposed Regulation Crypto Assets and the GENIUS Act. It asks the SEC to clarify how qualifying payment stablecoins can be used as consideration and settlement assets.

The company also seeks cash treatment under proposed Rule 302(b) and a reduction in the stated broker-dealer haircut for qualifying stablecoins from 2% to zero, subject to safeguards.

These are requests from an interested market participant. The letter does not establish that the Commission has adopted them, and a proposal’s eventual wording can differ materially from an issuer’s preferred approach.

A haircut changes balance-sheet economics

A regulatory haircut is a deduction applied when an asset is recognized for a particular financial calculation. Changing that deduction can affect how efficiently a firm uses its balance sheet, even when the asset itself is unchanged.

That gives the debate practical significance. Two instruments with similar day-to-day uses can create different costs for an intermediary if the rules recognize them differently.

The submitted letter provides Circle’s detailed position. Assessing it requires attention to which stablecoins would qualify, which safeguards would apply and whether the proposed treatment addresses the risks associated with the intermediary’s actual use of the asset.

Settlement assets are part of capital formation

An offering does not end with creating an entry on a blockchain. Investors need to deliver value, issuers need to receive it and intermediaries need to account for the resulting balances. The settlement instrument affects how those steps connect.

Clear rules can reduce uncertainty about valuation, custody and customer reserves. At the same time, giving an instrument a favorable label should not obscure the legal claim it represents or the conditions under which it can be redeemed.

The policy question is therefore narrower than whether stablecoins are useful. It is how a particular class of qualifying token should be recognized inside a specific regulatory framework, with responsibilities that remain clear when a transaction or intermediary fails.

Technical maintenance raises a separate legal boundary

Circle also asks for clarity on technical services performed after a network becomes functional. The issue is whether ongoing maintenance should be treated differently from the managerial efforts involved in establishing an investment proposition.

For a functioning network, software still needs repairs and improvements. A legal framework has to account for that continuing work without assuming that every technical update has the same economic meaning as an issuer’s original promises to purchasers.

The eventual boundary will depend on the final rules and their application, not on a company’s description alone. That is why the consultation record matters: it exposes the practical questions participants believe need an answer.

For now, Circle has made its preferred treatment explicit. The next relevant development would be a formal SEC action or revised proposal addressing those issues. Until then, claims that qualifying stablecoins have already received zero-haircut or cash treatment under the proposal would go beyond the evidence.
