On its third-quarter 2026 earnings call, held on Nov. 3, 2026, Icahn Enterprises (NASDAQ:IEP) highlighted a sharp rebound in net asset value driven by energy gains and major asset sales. For this diversified holding company, portfolio value swings directly dictate performance. That makes capital allocation and balance sheet flexibility the critical drivers of long-term returns. Three things management said stand out.

1. Energy Subsidiary CVI Pursues a $4.2 Billion Refining Expansion

Energy subsidiary CVI is executing a major transaction, purchasing two refineries at less than 3.5 times estimated operating profit. Expanding refining capacity at that price strengthens cash generation for the subsidiary without requiring direct equity financing from the parent company.

CVI announced a transformative $4.2 billion acquisition of two refineries and a marketing platform at a purchase price of less than 3.5x management's estimate of 2026 EBITDA.

2. Pep Boys Sale Unlocks $645 Million in Cash Proceeds

Icahn Enterprises completed the divestiture of automotive service provider Pep Boys, booking a $215 million pre-tax gain. Selling the operating asset cleans up the automotive footprint while freeing up fresh liquidity for higher-return opportunities.

During Q3 2026, we closed on the sale of Pep Boys and received $645 million in proceeds and recognized a pre-tax gain of $215 million.
-- Robert Flint, Chief Financial Officer

3. Balance Sheet Liquidity Positioned to Address 2027 Senior Notes

Management is preparing to address its senior notes, which are long-term debt securities maturing in May 2027. Those notes become callable at face value in mid-November, but with $2.3 billion in cash and investment funds on hand, the company has flexibility over how it handles them.

We have senior notes maturing in May of 2027 and may become callable at par beginning November 15th. We expect to address these notes in the coming months as we continue to evaluate the most effective use of our liquidity.
-- Ted Papapostolou, President and Chief Executive Officer

Looking Ahead

Leasing efforts across vacant real estate properties offer incremental cash flow as former automotive sites convert to third-party tenants. The company holds assets in energy and real estate, and management is keeping a close eye on balance sheet flexibility as opportunities develop.

The real estate segment will continue leasing up vacant space, which would improve cash flows and results going forward.
-- Robert Flint, Chief Financial Officer

With holding company liquidity in place, management has the flexibility to move on mispriced assets across its diverse operating segments.

We continue to focus on building asset value and maintaining liquidity to enable us to capitalize on opportunities within and outside our existing operating segments.
-- Robert Flint, Chief Financial Officer
