AAOI Drops Over 12% Premarket as Up to $600 Million ATM Offering Sparks Dilution Concerns

TradingKey - After market close on August 21, Eastern Time, Applied Optoelectronics (AAOI) filed a document with the SEC, announcing the launch of an at-the-market (ATM) equity offering program of up to $600 million, with sales agents Raymond James and Needham eligible for commissions of up to 2% of total proceeds.

Affected by this, the stock price fell about 10% to around $112 during after-hours trading that day. Pre-market on Monday, August 24, the stock price dropped by more than 12% at one point.

This marks the third time in 2026 that Applied Optoelectronics has launched a large-scale equity financing. The company completed a $500 million capital raise in April and established another $600 million ATM program in May. As of the end of the second quarter, the first two rounds had raised a combined total of approximately $1.05 billion through the issuance of nearly 7.8 million shares of common stock.

Behind the frequent financing is the rapid growth of the company's performance. AAOI's second-quarter revenue grew 86% year-over-year to $191.9 million, setting a record high for the fifth consecutive quarter, with data center revenue reaching $107.7 million, up 140% year-over-year.

The company achieved a Non-GAAP net profit of $5.5 million, turning profitable for the first time since 2023, though it still posted a GAAP loss of $22.8 million. The company expects third-quarter revenue to range between $255 million and $290 million.

CEO Thompson Lin stated during the earnings call that demand for high-speed optical communication products is strong, and demand is expected to continue exceeding production capacity at least through mid-2027.

Despite the impressive fundamental performance, market concerns over dilution from the share offering outweighed the positive earnings news. Retail sentiment on the Stocktwits platform shifted from "Neutral" to "Bearish," with some investors expressing dissatisfaction with the company's timing of announcing the offering after Friday's market close.

In the short term, the pressure exerted by the equity offering on the stock price outweighed the support from earnings growth, and market sentiment visibly weakened after the announcement.
