SEC Just Made Regulation Easier For Governance Tokens Like Uniswap

Source Beincrypto

The SEC has clarified an important question for governance cryptocurrencies like Uniswap (UNI): Does giving thousands of investors voting power make a token a security?

SEC staff now says generally no, provided the network is genuinely decentralized. The clarification could remove a major regulatory concern for decentralized finance (DeFi) projects and their investors.

What Has the SEC Changed?

In its November 2 update, SEC staff explained how governance tokens fit into the agency’s March crypto framework.

Governance tokens let holders vote on how a crypto project operates. For example, UNI holders can vote on changes to Uniswap, including how the protocol spends its funds.

Previously, there was uncertainty over whether thousands of people voting together could be considered one controlling group.

That matters because a cryptocurrency operating without central control may qualify as a digital commodity rather than a security, potentially facing different regulatory requirements.

The SEC staff clarified that independent holders voting through a decentralized system generally do not count as a controlling group.

However, projects must demonstrate that voting power is widely distributed. If a company or small group can independently change network rules, restrict access or override decisions, that could still indicate central control.

What Does This Mean for UNI and Other Crypto Traders?

For investors, the clarification reduces one source of uncertainty surrounding governance tokens.

It could make exchanges and institutional investors more comfortable dealing with qualifying tokens over time. However, it does not automatically classify UNI or every governance token as a commodity.

Uniswap is particularly relevant because its community voted on adopting a Wyoming DUNA, a legal structure designed for decentralized organizations.

There is one important catch. This is nonbinding SEC staff guidance, not a new law. Future regulators could interpret the issue differently.

Congress could provide stronger certainty through the CLARITY Act, which failed to advance in September. Tuesday’s midterm elections will determine the next Congress responsible for revisiting i
