Key questions

  • What was the primary mechanism for this transaction?
Silbermann converted shares of Class B Common Stock into Class A Common Stock specifically to facilitate the sale, as Class B shares generally must be converted to Class A before they can be liquidated on the public market.
  • What is the current status of the insider's equity holdings?
The director maintains 13,996 shares of Class A stock directly, while also holding significant derivative interests totaling ~1.2 million shares directly and ~77.7 million shares indirectly through SFTC, LLC.
  • How did the Rule 10b5-1 plan influence this activity?
The plan, established on February 27, 2026, pre-authorized the timing and volume of these sales, removing individual discretion during a period where the stock was priced at $18.93 per share, occurring as the stock has returned -49% as of the September 16, 2026 transaction date.
  • Why was the sale conducted through SFTC, LLC?
This entity is owned by The Silbermann 2012 Irrevocable Trust; such structures are frequently used by executives for long-term estate planning and asset management rather than short-term market speculation.

What this transaction means for investors

Admittedly, Ben Silbermann's sale of Pinterest stock may appear concerning on the surface. The executive chairman was also the co-founder and former CEO of the company, and, given his 87% stake in Class A, it might look like a huge loss of confidence in the social media stock.

However, investors should remember that those are "Class A" shares. His derivative interests amount to about 1.2 million shares held directly and approximately 77.7 million shares held indirectly. He also sold that small part of his holdings under the Rule 10b5-1 framework, meaning it was a pre-planned sale. Thus, Silbermann remains heavily invested in the company.

Share prices remain far below levels of five years ago, but investors have reason to believe a recovery could be at hand. In the first half of 2026, revenue is up by 18% annually, and although it has returned to losses, it has done so to invest in its business, which should benefit the stock in the long term.

Additionally, the stock has become cheap. The losses make the P/E ratio a less appropriate valuation measure. Nonetheless, its price-to-sales (P/S) ratio is 2.6, well below the 17 P/S ratio five years ago.

At current levels, Pinterest seems to have limited downside and the potential for a recovery, which should reinforce the resolve of Silbermann and other investors to hold Pinterest stock.
