Shares of ACV Auctions (NYSE: ACVA) soared on Friday after the digital marketplace for used vehicles agreed to be acquired by industry giant Copart (NASDAQ: CPRT) for $1.9 billion.

An enticing offer for ACV's shareholders

Under the terms of the deal, Copart will launch a tender offer for ACV's stock for $10.50 per share in cash.

That's a premium of roughly 44% from the stock's closing price on Thursday -- and 45% from Aug. 10, the last trading day before rumors of a potential deal began to circulate.

Stronger together

A successful tender offer would create an industry-leading remarketing platform spanning dealer trade-ins, business-to-business sales, salvage disposition, and international resale operations.

The combined company would also possess an expansive vehicle-dataset, bolstered by ACV's inspection technology and artificial intelligence (AI)-powered valuation tools.

"ACV has built a differentiated, technology-driven marketplace that perfectly complements our extensive physical infrastructure and expansive buyer network," Copart CEO Jay Adair said. "With ACV, we are uniquely positioned to drive efficiency and productivity throughout the entire automotive ecosystem, bringing greater transparency and superior economic outcomes to our customers for every vehicle, regardless of its condition."

The deal is projected to close by the end of 2026 and begin adding to Copart's earnings per share by fiscal 2028.
